Terms of Service

Acceptance

These terms govern your use of the website virtualpartener.com and of the Virtual Partner OS application (together, the “Service”), operated by Midas Studios Est 2022, trading as Virtual Partener, tax identification number RO45724542, Strada Unirii 12E, Etaj 3, Apartament 11, Buzău, Romania (“we”, “us”).

By using the Service you agree to these terms and to our Privacy Policy. If you use the Service on behalf of a company, you confirm that you are authorised to bind that company. If you do not agree, do not use the Service.

Services we provide to clients under a separate proposal or contract are governed by that document; where it conflicts with these terms, the contract prevails.

The service

The website presents our agency, our work and ways to contact us. Virtual Partner OS is an advertising operations application that connects to Meta platforms through Meta’s APIs to help us and our clients upload creatives, build and manage campaigns, analyse performance and research public advertising. Access to Virtual Partner OS is granted by us to team members and to clients who have an active agreement with us.

Accounts and Facebook login

  • You sign in to Virtual Partner OS with your Facebook account. You are responsible for keeping that account secure and for all activity carried out through your access.
  • You may only connect ad accounts, Pages, Instagram accounts and other business assets that you own or are authorised to manage.
  • You can revoke the application’s access at any time from your Facebook settings. Some features stop working when access is revoked.
  • You must be at least 18 years old to use the Service.

Acceptable use

You agree not to:

  • use the Service to run advertising that is illegal, misleading, discriminatory or that violates the advertising policies of Meta, Google or the laws of the markets you advertise in, including rules on medical, financial and alcohol advertising;
  • upload content you do not have the right to use, including images, videos, trademarks or personal data of others without a legal basis;
  • attempt to access accounts, data or systems you are not authorised to access, or interfere with the security or operation of the Service;
  • scrape, copy or resell any part of the Service, or use data obtained through it for purposes outside the service we provide;
  • use the Service to send unsolicited messages or to collect personal data without consent.

Meta platform rules

Virtual Partner OS relies on Meta’s APIs and is subject to the Meta Platform Terms, the Meta Developer Policies and the Meta Advertising Standards. You agree to comply with those rules when using the application with your Meta assets. We may suspend or limit features if required by Meta, by changes to their APIs or by their enforcement actions. We are not responsible for actions Meta takes on your accounts.

Your content

You keep all rights to the creatives, texts, data and other material you upload or connect (“Your Content”). You grant us a non-exclusive licence to store, process, display and transmit Your Content to Meta and other providers as needed to deliver the Service, for as long as you use it. You are responsible for Your Content and confirm that it does not infringe anyone’s rights and that you have any consents required for personal data it contains.

Where the application generates copy or creative variations with the help of AI tools, you decide what to publish and you remain responsible for the final advertising.

Intellectual property

The Service, including its design, code, texts and trademarks, belongs to us or our licensors. Client names and logos shown on the website belong to their respective owners and are shown to present our work. You may not copy, modify or distribute any part of the Service without our written permission, except as allowed by law.

Availability and changes

We aim to keep the Service available but do not guarantee uninterrupted operation. We may change, suspend or discontinue features, in particular when Meta’s APIs change. We will give reasonable notice of changes that materially affect clients with an active agreement.

Disclaimer

The Service is provided “as is”. Advertising results depend on many factors outside our control, including platform algorithms, competition, your offer and your market. Unless stated otherwise in a signed agreement, we do not guarantee specific results such as a number of leads, bookings or sales.

Limitation of liability

To the extent permitted by law, we are not liable for indirect or consequential losses, lost profits, lost data or loss of business arising from the use of the Service. Our total liability for claims relating to the Service in any 12-month period is limited to the amount you paid us for the Service in that period. Nothing in these terms limits liability that cannot be limited by law.

Termination

You can stop using the Service at any time and revoke the application’s access from your Facebook settings. We may suspend or terminate your access if you breach these terms, if required by law or by Meta, or when our agreement with you or your company ends. After termination we delete or anonymise your data as described in the Privacy Policy and the Data Deletion page.

Governing law

These terms are governed by the laws of Romania. Disputes are subject to the competent courts of Buzău, Romania, unless mandatory consumer law gives you the right to bring a claim elsewhere. EU residents may also use the European Commission’s online dispute resolution platform.
